The following resolutions are commonly used by boards throughout the course of a fiscal year.

Open Meetings Act

Michigan's Open Meetings Act (Public Act 267 of 1976) prescribes the open and democratic process that public bodies must follow when conducting business.

One of the primary responsibilities for a charter school board is the notification of upcoming board meetings in view of the public. Generally, the board will adopt a board meeting schedule or calendar of regularly scheduled meetings during the annual organizational meeting (see above). At that time, the board should also designate the person responsible for posting and communicating the notice to the public as required by Section 5 (1) of the OMA. To comply with this requirement, the board must appoint a specific individual or position at an open meeting and record the action in the minutes.

The board meeting calendar allows regular opportunity for the public to view the actions and conduct of the board. In addition to regularly scheduled board meetings, or those meetings typically included in the annual board meeting calendar, the board may find it necessary from time to time to schedule additional meetings. These special meetings also require public notice, are required to be posted no less than 18 hours in advance of the meeting, and should be placed in a location that allows for public inspection before, during and after school business hours. Many schools place the posting on the exterior doors of each school building.


Legal Notices and Press Releases

Each charter school is required to complete an annual application and enrollment process. The board of directors should approve the beginning and ending dates of reenrollment for current students, establish the beginning and ending dates of application period for prospective students, designate the date, time, and place of the random selection drawing, if necessary, and post a legal notice/advertisement that meets the following conditions:

Exigent Appointments

'Exigent conditions' are conditions of sufficient urgency under which The Governor John Engler Center for Charter Schools (Center) executive director determines that:

  1. The immediate appointment of a qualified individual(s) to a vacant board position(s) will enable or better enable the board to fulfill its statutory, contractual or fiduciary responsibilities governing the operation of the school;
  2. The failure to make an immediate appointment of a qualified individual(s) to a vacant board position(s) will unduly diminish the school board's ability to fulfill its statutory, contractual or fiduciary responsibilities governing the operation of the school; or
  3. A charter school board has failed to make a timely nomination(s) to a vacant board position(s). ‘Timely nomination' means a nomination made within four (4) months of a position becoming vacant.

The most common illustration of ‘exigent conditions' is a situation in which a charter school board has insufficient membership or for other reasons is unable to form a quorum to transact business. In such urgent circumstances, the University may appoint a qualified individual(s) to a vacant board position(s) so that the school board can meet.

Though not required, the Center generally requests that remaining board members specifically request consideration under this provision. A sample letter of request is provided in the event such consideration is sought by members of a charter public school board of directors.
